I see you asked this 2 times and since no answer by anyone. I will stick my neck out to answer ( not sure I should even)


This depends on the company policy.
Also at AGMs and EGM special resolution I think can be passed
to give power to management to make dividend call without shareholder approval.

There is no big rule on this as I no of. So finding a pattern is hard.

For example , DFCC one year they will aks for shareholder approval
and this year it not needed.

( there is another factor that may affect but I will not go into details.)

Thanks sls for the  detailed yet simple clarification.
 Was there any instance or incident where shareholders disapproved a dividend?
