(1/08/2014)- ඇඩම් ඉන්වෙස්ට්මන්ට්ස් ලයිස්තුගත සමාගමේ අත්තෝනොමතික PC PHARMA PLC(PCP.N0000) ගණු-දෙනුව අත්හිටුවමින් ශ්‍රී ලංකා සුරැකුම්පත් හා විනිමය කොමිෂන් සභාව එම ගණු-දෙනුව සිදු වි එළඕ මුල්ම රාජකාරි දින දෙක ඇතුළත ගත් පියවරයන් මෑත කාලයේ සාධාරණ හා විනිවිද භාවයකින් යුතු කොටස් වෙළෙඳ පොළක් අපේක්ෂා කරන සකල විධ ආයෝජක ප්‍රජාව ලද දැවැන්තම ජයග්‍රහණයකැයි , ආයෝජකයෝ රැසක්ම රන්දොරට කියා සිටියහ.

සුළු පරිමාණ ආයෝජකයින්ගේ විශ්වාශය කොටස් වෙළෙඳ පොළ වෙත අඛණ්ඩව පවත්වා ගෙන යාමට නම් මෙවැනි මිළ මුදල් යහමින් ඇති බලපුළුවන්කාර පිරිස් සුළු තරයක් මුල් වි ක්‍රියා කරන අකටයුතු කම් වලක්වා ලිම අත්‍යවශ්‍ය බව පෙන්වා දුන් මෙම ආයෝජකයෝ නියාමන කොමිෂම ස්වකිය සාධාරණ හා විනිවිද භාවය පිළිබඳ දැඩ් විවේචන/පුටු පෙරළි සිදු වු දුෂ්කර කාලපරිච්ජේදයක් පසු කරමින් දැන් නිවැරදි මාවතකට පිවිස සිටින බව පෙනි යන බව කීවෝය.

මෙන්න නීතිය

Section 28-3 of SEC's Company Take-overs and Mergers Code 1995, as amended in 2003

* During the offer period, the offeror or any person acting in concert with the offeror shall not sell any shares in the offeree company without having noticed the Stock Exchange and having obtained its approval.

After obtaining approval for such sales neither the offeror nor persons acting in concert with the offeror shall make further purchases of shares in the offeree company.

ශ්‍රී ලංකා සුරැකුම්පත් හා විනිමය කොමිෂන් සභාව අද නිවේදනය කළේ ආයෝජකයින්ගේ සුරක්ෂිත බව වෙනුවෙන් ක්‍රියා කර ඇඩම් ඉන්වෙස්ට්මන්ට්ස් ලයිස්තුගත සමාගම පසුගිය බ්‍රහස්පතින්දා තමන් සතු PC PHARMA PLC(PCP.N0000) හි කොටස් මිලියන 31.4 ක් හෙවත් සියයට 31.4 ක කොටස් හිමිකම් වෙළෙඳ පොළ සාමාන්‍ය ගණු-දෙනුවක් ලෙස ලෙස රුපියල් 2.10 ත් -2.90 ත් අතර මිලකට විකිණිමෙන් කළ ගණු-දෙනුව ආපසු හැර විමට කොළඹ කොටස් වෙළෙඳ පොළට උපදෙස් දුන් බවයි.

මෙම ගණු-දෙනුවේ විශේෂත්වය වුයේ තමන් සතු මෙම කොටස් හිමිකම වෙනුවෙන් අනිවාර්ය අර්පණයක් ඔවුන් පසුගිය ජුලි 04 දා නිකුත් කළ පසුබිමක අදාල විකුණා දැම්ම සිදු කිරිමයි.

ඇඩම් ඉන්වෙස්ටිමන්ට්ස් විසින් පී.සී ෆාර්මා සම්බන්ධයෙන් නිකුත් කළ අනිවාර්ය අර්පණය පිළිබඳ නිසි නිවේදනයක් වෙළෙඳ පොලට නිකුත් කරන තුරු පී.සී ෆාර්මා සහ ඇඩම් ඉන්වෙස්ටිමන්ට්ස් හි කොටස් වෙළෙඳ පොල ගණු-දෙනුද මේ වන විට අත්හිටුවා ඇත.

මෙවැනි ගණු-දෙනුවක් ආපසු හැර වු මෑත කාලයේ දෙවන අවස්ථාව මෙය වන අතර මෙයට පෙර ජාතික ඉතිරිකිරිමේ බැංකුව -ද ෆීණෑන්ස් සමාගමේ කොටස් මිළදි ගැනිමෙන් කළ ගණු-දෙනුවද ජනපති මහින්ද රාජපක්ෂ මහතාගේ නියෝගයෙන් ආපසු හැර විමට ක්‍රියා කර තිබිණි.

එවකට ජාතික ඉතිරිකිරිමේ බැංකුව -ද ෆීණෑන්ස් සමාගමේ ගනු-දෙනුවට සම්බන්ධ වු බැංකුවේ සභාපති ප්‍රමුඛ අධ්‍යක්ෂ මණ්ඩල සාමාජිකයින්ට ස්වකිය තනතුරු හැර යාමට සිදු වු අතරේ ජාතික ඉතිරිකිරිමේ බැංකුවේ අදාල අධ්‍යක්ෂ මණ්ඩල පත්‍රිකාව සකස් කළ දෙදෙනාට එරෙහිව මේ වන විට විනය පරික්ෂණයක්ද ක්‍රියාත්මක වෙමින් තිබේ.


මෙවැනි පසුබිමක කොටස් වෙළෙඳ පොළ යහ පාලන රේගුලාසි තූට්ටුවකට මායිම් නොකරමින් මේ ආකාරයෙන් ගණු-දෙනු සිදු කරන සමාගම් වල අධ්‍යක්ෂ මණ්ඩල වලටද උපරිම දඩුවම් දිය යුතු බවත් මෙවැනි පිරිස් බැකු හා මුල්‍ය සමාගම් වල අධ්‍යක්ෂ මණ්ඩල සිටින්නේ නම් ඔවුනට එම ධූර තවදුරටත් නියෝජනය කළ හැකි දැයි මහ බැංකුව මැදිහත් වි “fit and proper” පරික්ෂාවකටද ඔවුන් බදු කළ යුතු බවද මෙම ආයෝජකයෝ කියති.

මේ අතරේ PCH හෝල්ඩිංග්ස් කොටසක් සදහා රුපියල් 02 ක අනිවාර්ය අර්පණයක් ලබා දි තිබු පසුබිමක ඇඩම් ඉන්වෙස්ට්මන්ට් සම්බන්ධයක් ඇති බව කියන Redington Global (Private) Limited නම් සමාගමද කොටසක් රුපියල් 02.50 බැගින් වු වැඩි මිලට මෙහි කොටස් පසුගිය ජුලි 25 දා මිළට ගැනිම ශ්‍රී ලංකා සුරැකුම්පත් හා විනිමය කොමිෂන් සභා Take-overs and Mergers Code 1995, (as amended in 2003) උල්ලංඝනය කිරිමක්දැයි විමර්ශණය කළ යුතු බවද තැරුවිකරුවෝ හා PCH හෝල්ඩිංග්ස් සුළු කොටස් කාර ප්‍රජාවේ සක්‍රිය සාමාජිකයෝ තර්ක කරති.

PCH හෝල්ඩිංග්ස් පාලන බලය ඇඩම් ඉන්වෙස්ටිමන්ටිස් සමාගම විසින් එදින සෘජු හා වක්‍රව සියයට 60.8 අයිතියක් නතු කර ගනිමින් අත් පත් කර ගෙන ඇතැයි ,තැරුවිකාර ප්‍රජාවේ හා PCH හෝල්ඩිංග්ස් සුළු කොටස් කාර ප්‍රජාවේ සක්‍රිය සාමාජිකයෝ රන්දොරට එවක පවසා සිටියහ.


මෙහි කොටස් මිලියන 108.2 ක් හෙවත් සියයට 42.9 ක් ඇඩම් ඉන්වෙස්ට්මන්ට් සතු වු තත්ත්වය තුළ සෙසු කොටස් ,කොටසක් රුපියල් 02 බැගින් මිළදි ගැනිම සඳහා ඔවුන් අනිවාර්ය අර්පණයක් නිකුත් කර ඇති පසුබිමක ඔවුන්ට සම්බන්ධතාවයක් ඇති බව කියන Redington Global (Private) Limited නම් සමාගම PCH හෝල්ඩිංග්ස් හි කොටස් මිලියන 27.2 ක් එදින මිළදි ගනිමින් එහි සියයට 17.9 ක හිමිකමක් අත්පත් කර ගැනිමත් සමගම මෙලෙස ඇඩම් ඉන්වෙස්ටිමන්ටිස් හි PCH හෝල්ඩිංග්ස් වල සෘජු හා වක්‍රව සියයට 60.8 ඉක්මවන බවද ඔවුහු කියා සිටියහ.

ඔරියන්ට් ගාමන්ට්ස්, Ceylon & Foreign Trades PLC හා කොළඹ කොල්ලුපිටියේ යුනිටි ප්ලාසා අයත් On’ ally Holdings PLC යන ලයිස්තුගත සමාගම් හරහා ස්වකිය ව්‍යාපාරික ආධ්පත්‍යය පතුරුවා ගෙන සිට්න Adam Investments Limited පසුගිය ජුනි 10 දා මුල් වරට සුභ නැකතින් පාර්ලිමේන්තු මන්ත්‍රී ආර් දුම්න්ද සිල්වා සුරතින් කොළඹ කොටස් වෙළෙඳ පොල ගනු-දෙනු විම ආරම්භ කළ අතර එදින සිට ගත වු සති 03 ක කාලයක් තුළ මෙහි මුළික නිකුතුවේ මිළ වු රුපියල් 03 ට සාපේක්ෂව සියයට 100 ක ප්‍රතිලාභ මෙම සමාගම ලබා දෙමින් අද්විතිය වාර්තාවක් සමාගම පසුගියදා තැබුවේ කොටසක් රුපියල් 6.20 ක උපරිමයකට ඉහළ දමමිණි.

ඇඩම් ඉන්වෙස්ටිමන්ට් හි සියයට 10 .37 ප්‍රතිශතයක් හෙවත් කොටස් මිලියන 46.6 ක් කොටසක් රුපියල් 05 බැගින් ප්‍රකට ආයෝජකයෙකු වු ට්.සෙන්තිල්වෙල් විසින් මිළදි පසුගිය ජුලි 01 දා මිළදි ගත් අතරේ මෙහි විකුණුම්කරු වි ඇත්තේ ceypest පුද්ගලික සමගම බවත් සදහන් විය.

මුළික නිකුතුවේ රුපියල් 03 කට ඉතා පහසුවෙන් (මෙම මුළික කොටස් නිකුතුව සදහා ඉතා ආකර්ශණිය ඉල්ලුමක් එවකට නොතිබිණි) මිළදි ගත හැකිව තිබු මෙහි කොටස් ඊට වඩා දෙගුණයක් වැඩි මිළට මොහු එදා මෙසේ මිළදි ගත්තේ නම් ඒ කවර පදනමකින්දැයි විශ්ලේෂකයෝ ප්‍රශ්ණ කර සිටියහ.

රුවන් සිල්වා සතු British American Technologies (Private) Limited (BAT) සන්තකයේ තිබු PC PHARMA PLC(PCP.N0000) හි කොටස් මිලියන 16.2 ක් හෙවත් සියයට 16.05 ක අයිතිය ඇතුළුව PC Pharma හි 25.71% ක කොටස් හිමිකමක් ඇඩම් ඉන්වෙස්ට්මන්ට්ස් ලයිස්තුගත සමාගම විසින් මිලදි ගත්තේ පසුගිය ජුනි 25 දාය . ඒ රුපියල් 1.20 සිට රුපියල් 1.50 ක් දක්වා වූ මිලකට ය.

ඒ අනුව අවම රුපියල් මිලියන 10 කට අධික ප්‍රාග්ධන ලාභයක් මසක් ඇතුලතදි ඇඩම් ඉන්වෙස්ට්මන්ට්ස් මෙම අවලංගු වු ගණු-දෙනුව මගින් ලබා ගැනිමට අපේක්ෂා කර තිබිණි.

වසර 2011 දි පිහිට වු Adam Investments Limited නම් මෙම සමාගමේ සභාපති වන්නේ (ආචාර්ය) අලි අස්ගර් ගුලාම් හුසේන් වන අතර ඔහුගේ බිරිද වන ශ්‍රී ලංකාවේ මුල්ම විධායක නොවන ජනපති විලියම් ගොපල්ලවගේ මීමිනිබිරියක වන ධනුෂයා මැදිවක වෙත්තසිංහ ගුලාම්හුසේන් මෙහි විධායක අධ්‍යක්ෂිකාවකි.

Adam Apparels (Pvt) Ltd,Adam Metals (Pvt) Ltd,Network Communications (Pvt) Ltd,Adam Automobiles (Pvt) Ltd සහ Adam Air conditioners (Pvt) Ltd මෙම සමාගමට අයත් සෙසු සමාගම් වේ. ඕර්යන්ට් ගාමන්ට්ස් හි සියයට 40 ඉක්මවාද Ceylon & Foreign Trades PLC හි සියයට 28 ක ට ආසන්න සෘජු හා වක්‍ර හිමිකමක්ද මොවුනට ඇත.

Ceylon & Foreign Trades PLC යනු 1949 තේ,රබර්,පොල් අපනයන සදහා පිහිටවු සමාගමක් වන අතර එය 1978 දි පොදු සමාගමක් බවට පත් වි මැත කාලයේ කුළු බඩු අපනයනයේ ප්‍රමුඛ යෙකු වි ඇත.

කොළඹ කොල්ලුපිටියේ යුනිටි ප්ලාසා අයත් On’ ally Holdings PLC එහි ආශ්‍රීත සමාගමකි.

Gulamhussein made a massive mistake. His behavior and his ethics certainly dug a grave for himself. He only got more known and famous after this AINV thing.

Some people thought he can rescue small shareholders from Rishan's bad behaviour. Some would have trusted him.

Now we all know he is just another player who is not interested in his small shareholders or a genuine trustworth investor .
Now how many genuine investors will trust him? I won't.
